These Terms of Service ("Terms") govern your access to and use of the website at dubiai.app (the "Site"), operated by Dubi AI S.A.L. ("DUBI•AI", "we", "us" or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

01 Acceptance of these Terms

By accessing, browsing or otherwise using the Site, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. These Terms apply to all visitors and users of the Site.

02 About the Site

The Site is currently a pre-launch, informational page describing the forthcoming DUBI•AI platform. It does not yet offer products, services, transactions or user accounts. Any features, descriptions or timelines referenced are provided for informational purposes only and may change without notice. Nothing on the Site constitutes an offer, solicitation or binding commitment.

03 Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Site. By using the Site, you represent and warrant that you meet this requirement and that your use complies with all applicable laws.

04 Acceptable use

You agree not to:

• use the Site for any unlawful, fraudulent or harmful purpose;
• attempt to gain unauthorised access to the Site, its servers or any connected systems or networks;
• interfere with, disrupt or place an unreasonable load on the Site, including via denial-of-service techniques, scraping or automated data collection without our consent;
• introduce viruses, malware or other malicious code;
• reproduce, copy, distribute or create derivative works from the Site or its content except as expressly permitted; or
• infringe our or any third party's intellectual property or other rights.

The Site and all of its content — including the DUBI•AI name, logo, branding, text, graphics, design and underlying code — are owned by or licensed to Dubi AI S.A.L. and are protected by intellectual-property and other laws. Except as expressly permitted, you may not use, copy, reproduce, modify or distribute any part of the Site without our prior written consent. All rights not expressly granted are reserved.

06 Third-party links and services

The Site may contain links to third-party websites or resources that we do not control. We provide these links for convenience only and are not responsible for the content, products, services or practices of any third party. Your use of third-party sites is at your own risk and subject to their terms.

07 Disclaimers

The Site is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Site will be uninterrupted, timely, secure, error-free, or that any information on it is accurate, complete or current.

08 Limitation of liability

To the maximum extent permitted by applicable law, Dubi AI S.A.L. and its directors, officers, employees and affiliates shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, data, goodwill or other intangible losses, arising out of or relating to your access to or use of (or inability to use) the Site, whether based on warranty, contract, tort or any other legal theory.

09 Indemnification

You agree to indemnify and hold harmless Dubi AI S.A.L. and its affiliates from and against any claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of or in any way connected with your misuse of the Site or your violation of these Terms or any applicable law.

10 Changes to the Site and Terms

We may modify, suspend or discontinue the Site, in whole or in part, at any time and without notice. We may also revise these Terms from time to time; the "Last updated" date above reflects the latest version. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

11 Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of Lebanon, without regard to its conflict-of-law principles. You agree that the competent courts of Beirut, Lebanon shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site, subject to any mandatory consumer-protection rights you may have in your country of residence.

12 Severability and waiver

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision will not be considered a waiver of that right or provision.
